These Terms of Service (“Terms”) are a contract between you and ProDispatch (“Pro Dispatch Hub,” “we,” “us”) for the ProDispatch websites, office web app, and phone app (together, the “Service”). If you do not agree, do not use the Service.
If you use the Service for a company, you confirm that you are allowed to bind that company. “You” then means both you and that company. The company that pays for the workspace is the customer. A person who only signs in has no rights except the right to use the Service while that company allows it and these Terms are in effect.
By creating an account, joining a workspace, clicking to accept, or using the Service, you agree to these Terms. We may change them. The new terms apply the next time you use the Service after we post them. The date at the top of this page is the date of the current version. If you do not agree to a change, stop using the Service and delete your account.
ProDispatch is software for property preservation and field-service shops. A company uses it to run work orders, dispatch, estimates, photos, invoices, and related records, with an office view and a field view.
The Service is a tool. It is not legal, insurance, inspection, engineering, or code-compliance advice. We do not guarantee a national client score, a work-order approval, payment from a client, or that a job meets a servicer, HUD, investor, city, or county standard. You decide whether the Service fits your shop. You are responsible for the work you perform and for every record you send to a client.
While your company is in good standing, we grant the people that company authorizes a limited license to use the Service for that company’s own field-service work in the United States. The license is non-exclusive. You may not sell it, transfer it, sublicense it, or share it.
You may not:
If you break this section, your right to use the Service ends immediately. We do not have to warn you first. We may also ask a court to stop the misuse.
The company is responsible for every person it lets into the workspace, including office staff and field contractors. That includes what they upload, what they send, and any misuse of a login. You must use a strong password, keep it to yourself, and tell us at once if you think someone else has it. Until you tell us, you are responsible for activity under that login.
Office users and field users do not see the same records. What a person can see is set by the company’s administrator. Use a workspace only if that company has authorized you. If you leave the company, stop using its workspace.
You will not:
We may remove any content at any time. We do not have to review what you upload before it is stored.
You keep ownership of the work orders, photos, notes, estimates, invoices, and other material you submit (“Your Content”).
You give us permission to host, store, back up, copy, display, and process Your Content so we can run the Service for your workspace, keep the Service secure, and show a job to the people your administrator allows to see it. Photos may include the time and location captured by the device.
You promise that Your Content is yours to upload, does not break someone else’s rights, and does not include information you are not allowed to store.
We do not sell Your Content. We do not use your private work orders or job photos to train public AI models. If that ever changes, we will say so in an update to these Terms before we do it.
If you send us ideas or feedback about the Service, we may use them without paying you.
You can lose data. Work orders, photos, notes, estimates, invoices, and other records can be deleted, corrupted, or become unavailable because of an outage, a failed backup, a mistake, a security event, or because we remove a user or a company.
You must keep your own copies of anything you cannot afford to lose. We do not promise that a backup exists, that a backup can be restored, or that deleted data can be recovered.
We may delete workspace data when a subscription ends, when we remove a user or a company, or when data has sat unused. We do not have to export it or give you a copy first.
To the fullest extent the law allows, we are not liable for any loss of data.
AI Bid, Import from PDF, and any similar feature only suggest line items, quantities, or a draft. Those suggestions can be wrong, incomplete, or unfit for a particular job. You must review them before you rely on them, send them to a client, or invoice from them. You are responsible for the final scope, price, and invoice.
The public demo uses sample data. Nothing you do there changes a real account. Do not put real client information, real photos of occupied homes, or other personal data into the demo. We may shut off or wipe a demo at any time.
Paid plans are billed to the company workspace, outside the Apple App Store and Google Play. The mobile app does not sell digital goods or subscriptions.
The price, the plan limits, and how many users are included are stated at signup or on the company’s order. Fees buy access to the Service. They are not a promise of job volume, margin, or a client relationship.
We may raise prices, add fees, or change what a plan includes at any time, without your consent. We do not need your approval. We may apply the new price to the current term or to the next charge. Notice is not required. Fees already paid are not refunded except where the law requires a refund.
Invoices are due when we say they are due. If a payment fails, or you do not pay a new price, we may suspend or remove the workspace until it is current, or we may close it. You are responsible for sales and similar taxes on your use of the Service, other than taxes on our income.
You may delete your own account at any time from Profile → Delete my account. Deleting your user does not erase the company workspace or records the company still needs.
We may remove, suspend, or delete any user, and we may remove, suspend, or delete any company workspace, at any time. We may do this for any reason or for no reason, with or without notice, and without your consent. Access can end immediately. We may delete the related data and we do not have to export it first.
We may also watch how the Service is used so we can check that these Terms are being followed.
The Service, the software, the design, the name ProDispatch, and the logo belong to us. These Terms do not give you any ownership of them. You may not use our name or logo on your website, cards, estimates, or ads in a way that suggests we sponsor you, unless we agree in writing.
The Service is provided “as is” and “as available.” We do not promise that it will be uninterrupted, error-free, fit for your jobs, or good enough to pass a client score, audit, or inspection. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. Some states do not allow some disclaimers. Those limits apply only as far as the law allows.
To the fullest extent the law allows, we are not liable for loss of data, deleted records, lost profits, lost jobs, lost client work, or a score, rejection, or chargeback, or for indirect, incidental, special, consequential, or punitive damages, even if we were told they were possible.
Our total liability for any claim arising out of the Service will not exceed the fees your workspace paid us during the three months before the claim. Some states do not allow these limits. They apply only as far as the law allows.
If someone claims that Your Content, or the way you or your users used the Service, broke the law or someone else’s rights, you will defend us and cover the loss we actually suffer, including reasonable attorney’s fees, except to the extent we caused it.
These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law rules. Courts in Oklahoma City, Oklahoma are the venue for a dispute that is not required to be heard somewhere else.
You may not transfer these Terms or your workspace to someone else without our written approval. We may transfer them.
